Home Sales Attorney in Philadelphia

Seller-Side Counsel From Our Experienced Legal Team in Philadelphia, PA

A property sale can create legal obligations well before settlement. Agreement terms, seller disclosures, and title or transfer requirements can affect what a seller must address and when. At Pritzker Law Group, we advise sellers from contract review through title examination, settlement preparation, and transfer of ownership. Our broader real estate and municipal experience allows us to address transaction terms in the context of property issues and local requirements.

What to Expect From Seller-Side Representation

The scope of our work depends on the transaction’s stage, the property, and any issues already identified. We can begin before an agreement is signed, after an offer arrives, or while the parties are preparing for settlement.

Seller-side legal support may include:

  • Transaction assessment: We can review the property, proposed terms, disclosure obligations, title condition, and anticipated settlement timetable.
  • Contract review: We can examine the agreement of sale, contingencies, deadlines, amendments, and other documents affecting the seller.
  • Issue resolution: We can address contract questions, title concerns, liens, deed issues, and negotiations that arise before closing.
  • Settlement preparation: We can review closing documents, coordinate with transaction participants, and prepare the seller for signing and transfer.

Reviewing & Negotiating the Agreement of Sale

The agreement of sale establishes far more than the purchase price. It can define contingencies, the settlement timetable, and each party’s rights if a condition isn’t met.

We draft, negotiate, and review real estate contracts for sellers. When the parties propose an amendment or inspection-related change, we can evaluate how the revised language affects the seller’s legal and financial obligations. We also coordinate with the buyer’s counsel, title company, and other transaction participants as needed.

Resolving Disclosures, Title Issues, & Deed Requirements

Pennsylvania’s Real Estate Seller Disclosure Law generally requires a residential seller to provide a seller property disclosure statement identifying known material defects before an agreement of transfer is signed. The law’s application can depend on the property and transaction, so sellers should assess their obligations based on the specific facts.

Required topics can include:

  • The property’s physical condition and systems
  • Environmental hazards
  • Association or legal issues affecting its title or use

We review disclosure statements and related documents based on the seller’s actual knowledge and the transaction facts.

A title search and title examination may reveal liens and encumbrances. An encumbrance is a claim or restriction affecting ownership, such as a mortgage, judgment lien, easement, or recorded limitation. We assist with title searches, title insurance matters, deed preparation and filing, and issues that may require resolution before settlement.

Philadelphia Realty Transfer Tax & Closing Requirements

The Philadelphia Realty Transfer Tax applies to many transfers of real estate located in the city. The City currently lists a combined city and Commonwealth rate of 4.578 percent of the applicable value, although the taxable value and any exemption or exclusion depend on the transaction.

Buyer and seller often allocate the tax between themselves by agreement, but the City states that this allocation isn’t a legal requirement and that it may collect the tax from either party. A seller’s settlement preparation may also need to account for deed recording, transfer-tax documentation, and unpaid debts secured by the property.

Collaborative Real Estate Counsel From Contract Through Closing

Our firm, Pritzker Law Group, provides most services in-house across the real estate process. This continuity allows sellers to work with counsel from contract review through title and settlement without repeatedly bringing new professionals up to speed.

Our experience with Philadelphia City Council, the Philadelphia Zoning Board of Adjustment, city agencies, and administrative boards provides valuable municipal context when a sale intersects with regulatory or property-use concerns.

Twin attorneys Adam and Rachael Pritzker founded our firm with a focus on practical, collaborative real estate representation. We’re a Certified Women’s Business Enterprise and a member of the Building Industry Association of Philadelphia.
